Terms of Service

These terms govern your use of the software and services provided by SoftSystem Developers (“SoftSystem”, “we”, “us”), including our messaging service built on the WhatsApp Business Platform. By using the service, or by connecting a WhatsApp Business account to it, you agree to them.

1. What we provide

SoftSystem is a technology provider. We build and operate the connection between your business systems and the WhatsApp Business Platform, so that invoices, receipts, statements and similar notifications can be delivered to your customers on WhatsApp.

We provide the software and the integration. We are not a party to the conversations you have with your customers, and we do not control what you choose to send.

2. Who may use it

• You must be a business, legally registered where you operate, and able to enter a binding contract.
• The person accepting these terms must be authorised to do so on the business’s behalf.
• You must be at least 18 years old.
• You must own, or be authorised to use, the telephone number you connect.

3. Your WhatsApp account is yours

When you connect through our onboarding, you create and own your own WhatsApp Business Account and business portfolio. That matters in three ways:

• You add your own payment method, and Meta bills you directly for the messages you send. We do not resell messages or mark them up.
• You keep your number and your account if you stop using our service. Nothing is held hostage.
• You are Meta’s customer for the messaging itself, and Meta’s own terms and messaging policies apply to you directly.

We charge separately for our software, integration and support. Those fees are agreed with you in writing and are not part of what Meta bills.

4. What you must not send

This section is the one that gets accounts closed, so please read it properly. You agree that you will not use the service to:

• Send bulk or unsolicited marketing. Messaging people who have not opted in is the fastest way to lose a WhatsApp account, and it puts every other business on our platform at risk.
• Message anyone who has not given the opt-in that WhatsApp requires, or who has asked you to stop.
• Send anything unlawful, deceptive, threatening or obscene, or that infringes someone else’s rights.
• Impersonate another business or person, or misrepresent who a message is from.
• Sell, share or repurpose customer phone numbers obtained through the service.
• Breach the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, or Meta’s Platform Terms.
• Attempt to circumvent rate limits, quality controls or any technical restriction we or Meta apply.

5. Suspension

We may suspend or disconnect your account without notice if we reasonably believe you are breaching section 4, if Meta requires it, or if your use is putting other customers’ accounts at risk. Where the circumstances allow it we will tell you first and give you a chance to fix the problem. Persistent or serious breach ends the agreement.

6. Your data and your customers’ data

How we handle personal data is set out in our Privacy Policy. In short: data about your customers is held on your behalf, is not used for our own purposes, and is deleted on request through our data deletion process.

You remain responsible for having a lawful basis to send your customers messages, and for the accuracy of the data you pass to us.

7. Availability

We work to keep the service running, but we do not guarantee uninterrupted availability. Delivery of WhatsApp messages depends on Meta’s platform, on your customers’ devices and on networks outside our control. Planned maintenance will be notified in advance where practical.

8. Fees and payment

Fees for our software, integration and support are as agreed in your quotation or invoice. Meta’s message charges are billed to you by Meta and are separate. Unless agreed otherwise, our invoices are payable within 30 days, and we may suspend service on accounts that remain unpaid after written reminder.

9. Intellectual property

We keep ownership of our software, source code, designs and documentation. You are granted a non-exclusive, non-transferable right to use them for your own business while these terms are in force. You keep ownership of your own data, content and customer records.

10. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that:

• We are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data.
• We are not liable for action taken by Meta against your account, including restriction, suspension or template rejection.
• Our total liability in any 12-month period is limited to the fees you paid us in that period.

You agree to indemnify us against claims arising from messages you sent, including claims that you messaged someone without their consent.

11. Ending the agreement

Either of us may end the agreement on 30 days’ written notice. On termination we disconnect your account, delete your access tokens immediately, and delete remaining personal data in line with the retention periods in our Privacy Policy. Your WhatsApp Business Account, your number and your message history stay with you.

12. Changes

We may update these terms. Material changes will be notified to active customers by email at least 14 days before they take effect. Continuing to use the service after that date means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Lahore have exclusive jurisdiction over any dispute arising from them.
